契約自由を制約する契約条項をめぐる諸問題

　契約自由の原則は、現代の契約法を支える最重要の制度的基盤の一つと目されるものの、それが無制限に認められるわけではないことは論を俟たない。また、企業間取引においては、口頭修正禁止条項（no oral modification clauses）や秘密保持契約（non-disclosure agreement）などのように、契約締結後における当事者の自由な合意を制約するような契約条項がしばしば用いられていることも、注目に値する。本演習では、イングランド法におけるそのような契約自由を制約する契約条項の効力などの諸問題について扱うPaul S. Davies and Magda Raczynska (eds.), Contents of Commercial Contracts: Terms Affecting Freedoms (Hart Publishing, 2020)を取り上げ、本書に収録された諸論文について検討を行うこととする。
