International Contract Negotiation
International Contract Negotiation
NOTE: you cannot register to take this course by yourself - you must apply to take it and be approved.
The process is as follows:
- In early September, a call for applications will be uploaded onto the GSLP bulletin board online.
- The application period will be 9 am Tues 8 Sep to 1 pm Thurs 10 Sep.
- Successful applicants will be automatically enrolled in the course - and notified - by around 16 Sep.
This course covers the theory and practice of commercial contracting in an international setting.
AIM:
The aim is to:
1) help students master the fundamental skill set required for negotiation and
2) understand how laws and rules related to international commercial activities may be best used in negotiating and drafting terms and conditions of an international commercial contract.
NEGOTIATION EXERCISE:
The centrepiece of the course is a six-week commercial negotiation exercise where students will work in diverse teams.
The exercise involves students negotiating the terms and conditions of a hypothetical international contract.
Students will play the role of associate lawyers representing clients.
The instructors will play the supervising partner and client roles.
CLASS SCHEDULE (see the 授業計画 section for additional details)
The course includes additional hours where students, in the role of associate lawyers, interview instructors who play the client roles.
Accordingly, we will hold 12 classes in total, not 13.
The course will commence with four in-person sessions (Weeks 1-4), and conclude with an in-person session (Week 12).
These five UTokyo student-only sessions will be held in Room 304 of the Law School Classroom Building.
The middle seven classes (Weeks 5-11) will be taught online.
[IMPORTANT MATTERS]
1. This course will be conducted entirely in English.
In addition to the weekly negotiation sessions, it will entail research, document drafting, exchanging email communications with counterparty teams, as well as internal team coordination and preparation.
These are all important skills for international contract negotiations.
So, while the course will be relatively demanding, it will be of great value to any student who aspires to handle international business transactions.
2. The enrolment limit is 24 students. The maximum number of members per UTokyo student team is 6
3. A small number of additional places will be reserved for undergraduate students with Intercollegiate Negotiation Competition experience and non-JD graduate students who have a strong interest in international contract negotiation.
