International Commercial Law and Negotiation Strategy 国際商事法務と交渉戦略
*This course will be offered in conjunction with the Law School's Law Perspectives course. Students are expected to take the course on the understanding that the number of students may be limited if there are many applicants for the course, and that attendance and active participation are expected at each session.
＊本授業は、法科大学院の「法のパースペクティブ」との合併で開講する。履修希望者が多い場合には、人数制限を行う可能性があることと、毎回の出席と積極的な参加が期待されることを了解の上で履修されたい。
This course will cover both introductory and advanced practical aspects of commercial transaction and negotiation in cross-border contexts. After taking this course, you will be armed with the ability to negotiate a wide variety of complicated agreements. The training materials and course structure are modeled from the actual practice of business law on a global stage. The course will be taught jointly by an American in-house counsel who recently led a large Japanese semiconductor company (Jason Hall: Chief Legal Officer & Senior Vice President, Renesas Electronics Corporation), but now leads a solar energy startup company in Chicago, and an academic lawyer who specializes in comparative law (Masayuki Tamaruya). You will be learning from industry experts who have taught practitioners on this very topic, and will be expected to leave this class with the toolkit to succeed as a business lawyer in the future. No special command of English is a prerequisite, but be prepared to negotiate and draft a contract in English. If necessary, follow up in Japanese will be provided.
国際的な商取引と契約交渉について、入門から先端実務まで扱う。幅広い種類の契約条項をめぐる交渉力をつけることを目指す。使用する教材と授業構成は、国際的な商取引の法律実務からとっている。授業は、日本の大手企業の最高法務責任者（ルネサスエレクトロニクス株式会社 執行役員兼CLO）を経て現在シカゴのスタートアップ企業の法務部を率いるアメリカ人弁護士（ジェイソン・ホール）と、日本人の英米法研究者（溜箭将之）の共同で行う。国際法務の実務家教育にも関わってきた専門家による授業であり、将来ビジネス・ロイヤーとして活躍・成功する道具を身に着けることができる。特段の英語能力は前提としないが、英語で交渉・契約起案する意欲をもって参加されたい。必要に応じて日本語でフォローする。

授業計画
The course will be largely structured into three phases:
1.The first phase will focus on negotiation strategy, including a negotiation framework and some strategies for how to deal with difficult counter parties.
2.The second phase will introduce the general foundations of global commercial law to ensure that all class members have a consistent baseline understanding, including the key differences between Japanese law and common law.
3.The third phase will be a deeper dive into specific types of commercial agreements, including confidentiality, license, software as a service (SaaS), supply, and development agreements.
授業は大まかに3部に分かれる
１．交渉戦略：交渉の枠組と、相手方との難しい交渉に臨むにあたっての戦略
２．国際的な商事法務の全般的基礎：日本法とコモン・ローとの重要な違いを含め、契約法を中心とした基本的な内容を押さえる。
３．具体的な商事契約の実務：秘密保持、ライセンス、SaaS（サース：サービスとしてのソフトウェア）、供給契約、開発契約などを扱う
授業の方法
Throughout the class, students will prepare and negotiate agreements to simulate life as a counsel for a global company.
授業全体を通じて、学生同士で契約交渉を行い、グローバル企業の法務担当者の仕事を追体験してもらう。
成績評価方法
The grade is given on "A+・A・B・C+・C-・F" basis after evaluation of all weekly submissions (70%) and class participation (30%).
各週の提出物(70%)と平常点(30%)をもとに、A+・A・B・C+・C-・F で評価する。

履修上の注意
There are no reading assignments for the first class, but a quick look at Chapters 1 and 2 of Getting to Yes can be helpful. Please be prepared to learn about negotiation, meet your classmates, and participate in a mock negotiation.
初回に向けて特に課題は設けないが、Getting to Yesの第１章、２章に目を通しておくことを勧める。交渉について学び、クラスメートと会い、模擬交渉を行う心構えで参加されたい。
